Independent Contractor Agreement

Butler New Media will request your services on an assignment-by-assignment basis. You are an independent contractor, and not an employee or agent of Butler New Media..

Taxes: Butler New Media does not withhold taxes from your compensation. We will also not pay any taxes on your behalf.  If you make more than $599.00 in one year, Butler New Media will provide you with a 1099 form. If we are required to send you a 1099 form you will need to provide us with your social security number if requested.

Claims: As an independent contractor you shall have no claim against Butler New Media or otherwise for vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind.

Assignments: When Butler New Media notifies you of an assignment either by e-mail or telephone, you may either accept or decline. Acceptance of an assignment creates an implied contract between you, as the independent contractor, and Butler New Media.  If conflicts arise, you must notify a Butler New Media scheduler 24 hours in advance, either by telephone or e-mail, so that we may reschedule the assignment.  Not doing so jeopardizes your status with us.  We report all shopper "no call/no shows."

Each assignment varies in scope and pay.  Sometimes, services and products go along with your compensation; however, do not assume that you may purchase something and be reimbursed for it, unless stated in the Shopper Directions (the specific guidelines, scenario and quality required in your assignments).  Reimbursement also varies and is often limited to a specific amount or cap.  Butler New Media does provide reimbursement for travel on a case by case basis. We do not reimburse for postage or telephone calls/facsimiles - these are the responsibility of the shopper.  In addition, all reimbursements require an applicable receipt when requested. 

Age: Shoppers under the age of 18 are not permitted.

Termination: Butler New Media may terminate this Agreement at any time.

Confidentiality: You are not to duplicate, disseminate or divulge information relating to Butler New Media or clients that contract with us to anyone, without prior written consent.  Our client's privacy is of the utmost importance.  As a trusted participant in the mystery shopping process, you promise to keep all information confidential.  You agree not to divulge the accounts you work and/or any processes used in the assessment of those accounts. Our questionnaires and materials are proprietary and confidential and any contractors/shoppers who are suspected of sharing forms, written or online, with other shopper services will be prosecuted to the full extent of the law. In addition, As a contractor you are not to duplicate or disseminate any of Company’s materials, or any part thereof, in any way or form to another other person or company. 

You agree not to accept an assignment if you are an immediate family member, employee or an ex-employee of a client. You should immediately let our scheduler know if this applies.

Finally, any infraction of this confidentiality or any other part of this agreement by you, causing Butler New Media to lose credibility, anonymity or future business will result in civil action.
